Terms of Service

1. About these terms

These terms form a binding agreement between you and App Ranch ("App Ranch", "we", "us", or "our"), a sole proprietorship operated by Peter Snell, based in San Antonio, Texas, United States. If you are entering into these terms on behalf of a business, you confirm you have authority to bind that business.

2. Our services

App Ranch provides custom websites, applications, brand and video production, and Hyper Local SEO services. Some services are one-off projects and some are recurring subscriptions. The specific scope, deliverables, and price for your engagement are set out at checkout, in your order confirmation, or in a separate written proposal.

3. Accounts

You may need to create an account to access certain services or your client portal. You are responsible for keeping your login details secure and for all activity under your account. Tell us promptly at hello@app-ranch.com if you suspect unauthorised use.

4. Orders, pricing and payment

• Prices are shown at checkout and may be presented in different currencies. Unless stated otherwise, prices exclude applicable taxes, which are added where required.
• Payments are processed by our payment provider, Stripe. By paying, you authorise us to charge your chosen payment method.
• For subscriptions, you authorise recurring charges at the stated interval until you cancel. Each renewal is charged automatically using your payment method on file.
• We may correct pricing errors and decline or cancel an order where we reasonably believe it is fraudulent, unauthorised, or in breach of these terms.

5. Subscriptions, renewal and cancellation

Subscription services (such as Hyper Local SEO) renew automatically each billing period. You can cancel at any time from your client portal or by emailing hello@app-ranch.com. Cancellation takes effect at the end of the current paid period, and you keep access until then. Unless required by law or stated in our Refund & Return Policy, fees already paid are non-refundable.

6. Agentic commerce and AI agent purchases

We support orders placed through AI agents, assistants, and automated checkout systems acting on your behalf. If you authorise an agent to transact with us:

• You confirm the agent is acting with your authority and within the limits you have set for it.
• An order placed by your authorised agent is treated as placed by you, and you are responsible for it, including payment.
• The price, scope, and terms presented at the time of the agent's checkout apply to that order.
• We may apply checks to confirm an order is genuine and authorised, and we may decline or reverse transactions that appear fraudulent, mistaken, or unauthorised.

If you did not authorise a purchase made in your name, contact us promptly at hello@app-ranch.com so we can investigate.

7. Your responsibilities

To deliver our services we may need timely cooperation from you, such as content, access, approvals, and accurate information. You agree to:

• Provide accurate, current, and complete information when you order or onboard.
• Hold the rights to any materials you give us to use, and not infringe anyone else's rights.
• Use our services lawfully and not to transmit harmful, illegal, or abusive content.
• Not attempt to disrupt, reverse engineer, or gain unauthorised access to our systems.

8. Intellectual property

We retain ownership of our pre-existing materials, tools, and methods. Unless your order or proposal says otherwise, final deliverables we create specifically for you transfer to you once they are paid for in full. You grant us a licence to use materials you provide solely to deliver the services, and to reference completed work in our portfolio unless you ask us in writing not to.

9. Service levels and results

We work to a high standard, but services like SEO depend on factors outside our control, including search engines and third-party platforms. Except where expressly stated, we do not guarantee specific rankings, traffic, revenue, or other outcomes.

10. Third-party services

Our services may rely on or link to third parties (for example payment, hosting, analytics, and AI platforms). We are not responsible for third-party services, and your use of them may be subject to their own terms.

11. Disclaimers

Except as expressly stated in these terms, our services are provided "as is" and "as available" without warranties of any kind, whether express or implied, to the fullest extent permitted by law.

12. Limitation of liability

To the maximum extent permitted by law, App Ranch will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability arising out of or relating to the services will not exceed the amount you paid us for the service giving rise to the claim in the 12 months before the claim. Nothing in these terms limits liability that cannot be limited by law.

13. Indemnity

You agree to indemnify and hold App Ranch harmless from claims, losses, and expenses arising from your breach of these terms, your misuse of the services, or your content or materials infringing the rights of others.

14. Suspension and termination

We may suspend or terminate your access if you breach these terms, fail to pay, or use the services in a way that risks harm to us or others. You may stop using the services at any time. Provisions that by their nature should survive termination will continue to apply.

15. Governing law

These terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws rules. Disputes will be subject to the exclusive jurisdiction of the state and federal courts located in San Antonio, Texas, except where applicable consumer law gives you other rights.

16. Changes to these terms

We may update these terms from time to time. When we make material changes, we will update the date above and, where appropriate, notify you. Continued use of the services after changes take effect means you accept the updated terms.
